Terms of Use

1. Acceptance of Terms

By accessing and using Incipia ("the Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Platform. Incipia reserves the right to modify these terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified terms.

2. Platform Purpose

Incipia is a marketplace that connects startups with engineering and product students through scoped, project-based challenges. The Platform is designed to: • Enable startups to validate ideas and solutions • Provide students with real-world experience • Facilitate structured problem-solving collaborations Incipia is NOT: • An employer or employment agency • A staffing or recruiting service • A guarantee of work, payment, or future opportunities

3. User Eligibility

For Startups: You must be authorized to represent the startup organization and have the authority to enter into agreements on its behalf. For Students: You must be at least 18 years old or have parental/guardian consent. You should be currently enrolled in or recently graduated from a recognized post-secondary institution.

4. Challenge Posting & Participation

Startups agree to: • Post challenges that are real, scoped, and realistic • Provide clear context through onboarding sessions • Review submissions in good faith • Provide feedback or make clear selections • Pay the required platform fee ($5 USD per challenge) Students agree to: • Work independently within defined scope and timeline • Submit original work or properly attribute external sources • Understand that not all submissions will be selected • Accept that participation does not guarantee payment or future work

5. Intellectual Property

Student Submissions: Students retain ownership of their submitted work unless otherwise agreed in writing with the startup. Startups may review and evaluate submissions but may not use, implement, or distribute student work without explicit agreement. Platform Content: Incipia retains all rights to the Platform design, features, and functionality. Users may not copy, modify, or distribute Platform elements.

6. Payment Terms

Startups pay a $5 USD platform fee per published challenge. This fee is non-refundable and processed through Stripe. Payment between startups and students (if any) is a separate arrangement. Incipia does not facilitate, guarantee, or take responsibility for any financial agreements between parties.

7. User Conduct

Users agree NOT to: • Post false, misleading, or fraudulent content • Harass, abuse, or discriminate against other users • Violate intellectual property rights • Use the Platform for illegal activities • Attempt to circumvent Platform features or security • Scrape or harvest user data

8. Privacy & Data

Incipia collects and processes user data as described in our Privacy Policy. By using the Platform, you consent to such collection and use. User profiles, challenge descriptions, and submissions may be visible to other Platform users as part of normal Platform operation.

9. Disclaimers & Limitations of Liability

Platform provided "AS IS": Incipia is in early access. We make no warranties about Platform availability, accuracy, or fitness for particular purposes. No Employment Relationship: Use of the Platform does not create an employment, partnership, or agency relationship between Incipia and users or between users themselves. Limitation of Liability: To the maximum extent permitted by law, Incipia is not liable for indirect, incidental, or consequential damages arising from Platform use.

10. Dispute Resolution

Disputes between startups and students are the responsibility of those parties. Incipia may facilitate communication but is not obligated to mediate or resolve conflicts. Disputes with Incipia shall be governed by the laws of Ontario, Canada.

11. Termination

Incipia reserves the right to suspend or terminate user accounts for violation of these terms or for any reason at its discretion. Users may delete their accounts at any time through Platform settings.
